These terms explain how TUVON works, what we expect from riders, drivers, couriers and partners, and the limits that apply when you use our platform.

1. About these terms

These Terms and Conditions govern your access to and use of TUVON websites, mobile applications, software, support channels and mobility services (together, the “Services”). The Services are provided by TUVON Technologies Ltd (“TUVON”, “we”, “us” or “our”). By creating an account, requesting a service, accepting a trip, submitting a form or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. Eligibility and accounts

You must be legally capable of entering a binding contract and provide accurate, current information. You are responsible for keeping your credentials, phone and devices secure and for all activity under your account. Do not share an account, impersonate another person, create duplicate accounts to evade restrictions or use the Services for an unlawful purpose. We may request identity, vehicle, payment or other verification and may refuse, suspend or limit access where information cannot be verified.

3. TUVON services

TUVON is a technology and coordination platform. Depending on the product and location, the platform may connect riders with independent drivers, couriers, fleet partners or other service providers. TUVON does not promise that a driver, vehicle, courier, route, shared-ride seat or service will always be available. Service descriptions, launch cities and features may differ by country, city, account type and applicable law.

4. Rides and shared travel

A ride or shared/inter-state trip is formed when the relevant service provider accepts the request or when the application confirms a booking. You must be at the stated pickup point on time, use the correct account and follow lawful instructions. Shared travel requires reasonable conduct toward other passengers and acceptance that the route, pickup sequence and arrival time may change to accommodate confirmed passengers, traffic, safety and operational conditions. TUVON may cancel or reassign a trip where safety, verification, availability or operational conditions require it.

5. Dispatch and packages

You must accurately describe the package, its value, dimensions, handling requirements, recipient and contact details. You must not send cash, weapons, illegal substances, hazardous materials, stolen goods, live animals, perishable goods without prior approval or any item prohibited by law or the displayed service rules. TUVON or a service provider may inspect, refuse, return or report a package where reasonably necessary. You remain responsible for lawful ownership, packaging and truthful declarations.

6. Fares, fees and payments

Before confirmation, the application may display an estimate based on service type, distance, time, traffic, demand, tolls, route conditions, waiting time and applicable taxes or charges. The final amount may change where the route, stops, waiting time, service level, traffic or requested changes differ from the estimate. Drivers and partners may receive the amount shown in their applicable earnings view less disclosed platform fees, adjustments and lawful deductions. You authorise the selected payment processor to charge the selected payment method for confirmed amounts, cancellation fees, tolls, damage claims supported by evidence and other charges permitted by the applicable service terms. Full card details are entered through the processor’s secure payment interface or SDK and are not stored on TUVON servers. The application may retain a masked card label or processor token so you can recognise or select a saved payment method. The financial transaction is processed directly by the relevant payment processor and financial institution; TUVON receives only the payment status, transaction reference, amount and related records needed to provide the service, reconcile accounts, issue refunds and meet legal or safety obligations. Payment providers may apply their own terms and privacy notices.

7. Cancellations, refunds and disputes

Cancellation rules, waiting charges and refund eligibility are shown in the application or booking flow and may vary by service and market. Contact support promptly with the trip reference and relevant evidence. We may investigate disputed charges, reverse an erroneous charge, place a temporary hold or request additional information. Nothing in these Terms removes any non-waivable consumer protection or payment right available under applicable law.

8. Safety and prohibited conduct

Do not threaten, harass, discriminate against, assault, deceive, stalk or endanger another person; damage a vehicle; carry prohibited items; evade payment; manipulate location or trip data; misuse emergency features; record or publish another person’s personal information without lawful authority; interfere with platform security; scrape, reverse engineer or overload the Services; or use the Services to facilitate crime. Emergency features and safety monitoring are support tools, not a substitute for contacting emergency services. Call the appropriate emergency authority first where there is immediate danger.

9. Ratings, content and communications

You grant TUVON a non-exclusive, worldwide, royalty-free licence to host, process, reproduce and use content you submit as needed to operate, secure, improve and promote the Services, subject to the Privacy Policy and applicable law. Feedback must be truthful and must not contain unlawful, confidential or abusive material. We may send operational messages about bookings, safety, payments, verification and support. Marketing messages can be opted out of without disabling essential service communications.

10. Artificial intelligence and automated tools

TUVON may use rules-based and AI-assisted tools for matching, route guidance, demand forecasting, fare estimation, fraud detection, safety monitoring, support triage and service improvement. These tools support human and operational decisions; they do not guarantee a particular route, fare, match, safety result or earnings outcome. Where applicable law gives you a right to request human review or challenge a material decision, contact support with the relevant trip or account reference.

11. Intellectual property

The Services, software, branding, designs, text, data compilations and other materials are owned by or licensed to TUVON and protected by applicable intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Services for their intended purpose. You may not copy, sell, sublicense, modify, frame, mirror, extract, distribute or create derivative works from the Services except with our written permission.

12. Third-party services

Maps, communications, identity verification, payment, hosting, analytics and other integrations may be provided by third parties. Their services may have separate terms and privacy notices. TUVON is not responsible for an interruption, error or loss caused solely by a third-party service, although we will take reasonable steps to restore or provide an alternative where appropriate.

13. Suspension and termination

We may suspend, restrict or terminate an account, booking or access to any feature if you breach these Terms, create safety or fraud risk, fail verification, fail to pay, misuse the Services or where required by law or an operational necessity. You may stop using the Services at any time. Provisions concerning payment, ownership, confidentiality, liability, indemnity, disputes and any rights that by their nature should survive will continue after termination.

14. Disclaimers

To the maximum extent permitted by law, the Services are provided on an “as available” basis. TUVON does not warrant uninterrupted availability, error-free operation, a particular driver or vehicle, exact arrival time, route, fare, safety result, earnings level or commercial outcome. TUVON is a platform and does not control every act or omission of an independent driver, courier or partner. Nothing in these Terms excludes liability that cannot lawfully be excluded.

15. Liability and indemnity

To the maximum extent permitted by law, TUVON will not be liable for indirect, incidental, special, consequential or loss-of-profit damages arising from use of the Services. TUVON’s aggregate liability for a claim relating to the Services will be limited to the greater of the amount you paid TUVON for the affected service in the six months before the event or the minimum amount required by applicable law. You agree to indemnify TUVON and its officers, employees and contractors against claims, losses and costs arising from your unlawful conduct, breach of these Terms, misuse of the Services, package contents or infringement of another person’s rights, except to the extent caused by TUVON’s own proven breach or negligence.

16. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, unless mandatory law in your location requires otherwise. We encourage you to contact support first so we can attempt a prompt resolution. Subject to mandatory consumer rights and any agreed alternative dispute process, courts with appropriate jurisdiction in Nigeria will have jurisdiction over disputes relating to the Services.

17. Changes and contact

We may update these Terms to reflect new Services, legal requirements, security needs or operational changes. We will publish the updated version and revise the date below.
